Business Description
The company is one of the world's leaders in the engineering, manufacturing, marketing and distribution of agricultural equipment. The company is the market leader in agricultural tractors in most of Europe's markets and in a number of important markets in Latin America, the Pacific Rim and the Rest of the World. The company also has the third largest share of the agricultural equipment markets in the United States and Canada. New Holland also has a significant presence in the construction equipment industry, offering a full range of heavy construction equipment primarily in Europe and Latin America, as well as a new compact line of light construction equipment targeted to the European market.

Use of Proceeds
The proceeds from the proposed offering will be distributed to selling shareholders.
