Business Description
Scoop, INc. is in the process of developing SCOOP!, an Internet delivered business information service. It is anticipated that SCOOP! will enable customers to access an extensive array of well-recognized news and information sources which the company licenses principally from UMI Company, a wholly-owned subsidiary of Bell & Howell Operating Company and one of the world's leading aggregators of articles from newspapers, periodicals and other information sources. The company believes that SCOOP! also will provide customers with a unique combination of information delivery capabilities for accessing relevant information from the company's databases and the Intranet's World Wide Web.

Use of Proceeds
The proceeds from the proposed offering will be used for working capital, and other general corporate purposes including product development, expansion of sales and marketing, capital expenditures and to fund anticipated operating losses.
