| Business Description |
| The Company is engaged in the business of financing the acquisition and development of tracts of land for the development of single family home sites. The Company designs and builds detached single family homes and listing and selling residential and commercial properties primarily in the Albuquerque, New Mexico metropolitan area. The Company conducts its activities through its three wholly-owned operating subsidiaries; Charter Building and Development Corp., a builder of detached single family homes; and Hooten-Stahl, In., a real estate brokerage firm. The Company believes that the recent growth of the Albuquerque metropolitan area will continue to create a demand for real estate financial services, home building and brokerage services.The Company believes that it is well-positioned, and with the funds from the Offerings, will have the resources to increase its presence in the Albuquerque metropolitan area and expand into new communities in an outside the state of New Mexico. |

| The proceeds from the proposed offering will be used for reduction of debt, acquisition of residential building sites and raw land to develop residential building sites, construction of new single family homes and working capital. |
