The company is a registered bank holding company for the American Bank of Bradenton, Bradenton, Florida. The company, through its ownership of the bank as its sole subsidiary, is engaged in a general commercial banking business and its primary source of earnings is derived from income generated by the bank. The bank is a Florida state chartered banking association, is the result of efforts by a group of local business people who identified the need for a customer service oriented, independent, community bank in Manatee County, Florida.

Use of Proceeds

The net proceeds of the offering will be used for general corporate purposes, including capital contributions to the Bank, the financing of possible future acquisitions of other financial institutions, the possible financing of other bank facilities, including administrative office space and branches, the possible repayment of borrowings, and additional working capital.
