To pursue this vision, the company's management team combines the creativity of a cosmetics and fashion company with the marketing, sales and operating discipline of a consumer packaged goods company. The company believes that its global brand name recognition, product quality and marketing experience have enabled it to create one of the strongest consumer brand franchises in the world, with products sold in approximately 175 countries and territories. The company's products are marketed under such well known brand names as Revlon, Colorstay, Age Defying, Almay and Ultima II. To further strengthen its consumer brand franchises, the company markets each core brand with a distinct and uniform global image including packaging and advertising, while retaining the flexibility to tailor products to local and regional preferences.

Use of Proceeds
Proceeds from the proposed offering will be contributed to the Products Corporation and will be used to repay borrowings under its credit agreement with the Products Corporation.
