| Business Description |
| The company is an Ohio corporation organized in October 1995 by the Savings Bank for the purpose of holding all of the capital stock of the Savings Bank and in order to facilitate the Conversion and Reorganization. Upon completion of the Conversion and Reorganization, the only significant assets of the company will be all of the outstanding Savings Bank Common Stock, the note evidencing the company's loan to the ESOP and the portion of the net proceeds from the Offerings retained by the company. The business of the company will initially consist of the business of the Savings Bank. Fidelity Federal Savings Bank is a federally chartered stock savings bank that was organized on May 11, 1992 as a subsidiary of the Mutual Holding Company. Prior to that date, Fidelity Savings and Loan Association in its mutual form had operated since 1913 in the market area now served by the Savings Bank. |
