Business Description
The company is a manufacturer of woven and nonwoven polyolefin products including disposable wiping, medical and hygiene products. It is the third largest producer of nonwovens in the world and that it employs the most extensive range of nonwoven technologies of any nonwovens producer, which allows it to supply products tailored to customers' needs at a competitive cost. Nonwovens are flat, flexible porous sheets produced by interlocking fibers or filaments or by perforating films. The Company also believes that it is the largest producer of woven polyethylene fabrics in North America. Woven polyethylene fabrics are flat, flexible structures produced by weaving narrow tapes of slit film and are characterized by high strength-to-weight ratios. The COmpany has a global presence with an established customer base in the three major developed markets of North America, Europe and Japan, as well as developing markets such as Latin America. The Company supplies nonwovens to customers such as Johnson & Johnson for health care products, such as hospital gowns, including operating room gowns, The Procter and Gamble Company for Pampers and Luvs diapers, Paragon Trade Brands Inc. for private label diapers, and Colgate Palmolive Co. for Handiwipes products.

Use of Proceeds
The proceeds from the offering will be used to repay outstanding borrowings under the 1994 Credit facility and the 1995 Credit facility, to redeem a portion of the Notes and to redeem the Redeemable Preferred Stock.
