| The company develops World Wide Web sites for companies. A growing number of businesses, associations and other organizations are establishing Web sites as a means to communicate internally with employees and externally to customers, prospective customers and other constituents. Many Web sites have been used initially only for one-way communication such as marketing or advertising through online product brochures. Businesses can enhance revenues by using Web sites to conduct online commerce, such as interactive catalog sales. Businesses can also reduce costs by using Web-based technologies to automate help desk and other service functions that have historically been staffed with operators who require training and who may handle hundreds of calls each day. |

| Proceeds from the offering will be used for the expansion of the Community Access America program; marketing and sales of sophisticated, high-end Web sites; development of WebQuest and MD Gateway; acquisition of software and capital equipment; repayment of short term debt and trade payables; payment of commitments; general working capital; and such other purposes as may be approved by the Board of Directors. |
