Business Description
The company was organized for the purpose of developing, marketing, owning and operating remote, interactive event and activity ticket dispensing and merchandise distribution systems operated through free standing kiosks. The kiosks will be placed in various geographic areas, initially consisting of certain major event ticket markets in the United States. The company intends to operate the Ticket System under the trade name of "Neighborhood Box Office". The company's business strategy is to connect each individual kiosk in a geographical area by telephone modem to a central area head-end server computer. Larger venues in a geographic market such as major arenas, stadiums and concert halls will have their own server computer, while smaller or less active venues will share a server computer with other similar venues in the particular geographic market. The company will integrate its Ticketing System with the existing hardware and software that is currently in place in each venue. The company has entered into a license, cooperative marketing and technical assistance agreement with Select Ticketing Systems, Inc., which provides, among other things, that Select Ticketing will assist the company in marketing the Ticker System by providing access to its sales, marketing and technical staff and providing elements of the Ticketing software.

Use of Proceeds
Proceeds from the proposed offering will be used for computer equipment and software, kiosk manufacturing, repayment of debt, office equipment and furniture, and working capital.
