Business Description
n-Vision, Inc., a Delaware corporation, designs, develops, manufactures and markets state-of-the-art, proprietary virtual reality products and systems for a variety of commercial, industrial and military applications. The Company currently has developed five principal VR products and systems: Datavisor VGA, Datavisor 10m, Datavisor 10x, Datavisor 10XL, and Virtual Binoculars. The Company introduced the first commercially available head mounted display VR system to achieve over one million pixels per eye in monochrome. The VR or artificial environment created by the Company's proprietary VR products and systems utilizes computer hardware and software, including operating systems, simulation software, computer-aided design, graphics applications, computer-aided software engineering tools, and database and knowledge base management tools and systems. Commercial and industrial uses of the Company's VR products and systems include, but are not limited to, medicine, simulation, training and education, industrial design and environmental, and entertainment applications.

Use of Proceeds
The proceeds from the offering will be used for administrative expenses, operating costs and working capital, including software support and development, capital equipment, marketing and sales, mergers and acquisitions, and the repayment of debt.
