Business Description
The Company owns, operates and intends to franchise quick service restaurants featuring rotisserie chicken and other fresh homestyle food items under the name "Cluckers" and is developing a similar restaurant concept under the name "Harvest Rotisserie." The Company's development of Cluckers is to be carried out internationally through the utilization of its own trademarks, but United States development is limited under a license agreement to the State of Texas. The Company intends to concentrate its Texas store development in the San Antonio and Houston metropolitan areas. The Company has also developed a restaurant concept similar to Cluckers under the name "Harvest Rotisserie" which it will seek to franchise throughout the United States. Both Cluckers and Harvest Rotisserie restaurants emphasize rotisserie roasted chicken and fresh homestyle side dishes consistent with what the Company believes to be (i) an increased consumer demand for take-home prepared foods, (ii) an emphasis on lower fat foods such as chicken and (iii) the popularity of homestyle cooking. The Company maintains strict quality standards in purchasing, storing, preparing and serving its rotisserie roasted chicken, side dishes, desserts and other products.

Use of Proceeds
Proceeds from the proposed offering will be used for repayment of bridge loans, development of company owned restaurants, investments in restaurant joint ventures, completion and marketing of restaurant franchise programs and working capital.
