Business Description
Boston Communications Group develops, markets and provides innovative call processing and customer support services to wireless telephone carriers The Company's services are designed to enable wireless telephone carriers to focus internal resources on their core business activities, while increasing revenues, improving service quality and reducing costs. To date, the Company's principal service offerings have included its ROAMERplus calling service and its carrier support services. The Company's ROAMERplus service provides carriers with the ability to cost-effectively generate revenues from subscribers who are not covered under traditional roaming agreements by arranging payment for roaming calls and paying carriers for the air time used. BCG is the leading provider of roaming services to the unregistered roaming market. The Company's carrier support services allow wireless carriers to outsource all or a portion of their customer service activities, and are designed to help wireless carriers retain subscribers, reduce costs and manage growth. In early 1996, BCG introduced its prepaid wireless service that will enable wireless carriers to offer their services on a prepaid basis. The Company is in the process of deploying its C/2/C Network to support delivery of this service on a nationwide basis.

Use of Proceeds
The proceeds from the offering will be used for the redemption of preferred stock, investment in network infrastructure, and for other general corporate purposes, including working capital.
