Business Description
Imatec, Ltd. (the "Company") was formed in 1988 to develop, design, market and license its Imatec 20/20 system ("Imatec 20/20(TM)"), which enhances image reproduction by reducing distortion that normally occurs in the imaging process. Based on the results of extensive testing by the Company, the Imatec 20/20(TM) system is capable of improving the quality of film reproduction of images taken by medical imaging devices such as Magnetic Resonance Imaging machines ("MRI"), Computer Topography machines ("CT") and Ultrasound machines. In addition, the Imatec 20/20 system achieves this goal regardless of the type of the medical imaging film used and as a consequence, may result in cost savings to the user. The Company also recently developed the Imatec 20/20 system to improve the quality of images in the medical imaging field of teleradiology; which is the viewing of the same image on different monitor screens in separate locations. The Company believes that, in addition to the medical imaging field, the Imatec 20/20 system can be used in markets such as graphic arts, computers and video display.

Use of Proceeds
The proceeds from the proposed offering will be used for repayment of indebtedness, marketing and licensing, research and development, and working capital purposes.
