Business Description
The Company is a leading designer, manufacturer and marketer of precision-molded thermoplastic enclosures used by cable television ("CATV") operators and local telephone companies worldwide. The Company believes it was the first to design, manufacture and market thermoplastic enclosure products for use in the communications industry on a wide scale. The Company's products house, protect and provide access to advanced telecommunications electronics and transmission media, including coaxial cable, copper wire and optical fibers, used in the delivery of CATV and telephone services. The products are deployed within the portion of the local signal delivery network, commonly known as the "outside plant," that connects the network provider's signal origination office with residences and businesses. The Company also markets a variety of complementary products manufactured by third parties, including grade level boxes and cable-in-conduit, in order to provide a full system solution to meet its customers' outside plant requirements. The Company has a leading share of the CATV market for enclosures in the United States and Canada and markets a wide range of products to local telephone companies.

Use of Proceeds
The proceeds from the offering will be used for distributions to existing stockholders in connection with the termination of the Company's S corporation status, new product development, repayment of indebtedness and general corporate purposes.
