Business Description
The company is the leading multi-modal freight transport and distribution company in New Zealand operating the only commercial railroad in the region. The company operates ferry and rail services throughout New Zealand. The company's rail operations use approximately 3,900 route kilometers of track, approximately 300 locomotives, 5,000 bogie wagons, 2,000 four wheeled wagons, 100 carriages, 180 self-propelled passenger rail cars and 2,000 shipping containers. In addition, the company operates the principal scheduled ferry services between the North and South Islands of New Zealand, using three conventional ferries and, during recent New Zealand summer seasons, one high-speed ferry. The company also operates a logistics and distribution business which is integrated with its rail business and offers door-to-door multi-modal transport of goods in both full wagon lots and less-than-wagonload quantities. The company conducts virtually all of its operations in New Zealand and has a broad base of customers who ship a wide range of commodities in the domestic markets of New Zealand as well as major export and import markets throughout Asia and the world.

Use of Proceeds
The proceeds from the offering will be used to repay debt associated with its 1995 recapitalization.
