Business Description
The company is the holding company for AXA, an international group of insurance and related financial services companies. AXA's insurance operations include activities in life insurance, property and casualty insurance and reinsurance. The insurance operation are diverse geographically, with activities in more than 20 countries, including France, the United States, Australia, the United Kingdom, Canada and other countries, principally in Western Europe and the Asia/Pacific area. AXA is the eleventh largest insurance group in the world based on worldwide revenue in 1994 and the second largest French insurance group based on worldwide gross premiums in 1994. AXA is also engaged in asset management, investment banking, securities trading, brokerage, real estate and other financial services activities principally in the United States, as well as in Western Europe and the Asia/Pacific area.

Use of Proceeds
Proceeds from the offering will be distributed to selling shareholders, who initially intends to invest the proceeds in its general account insurance portfolio; they may also use proceeds to pay a dividend and for general corporate purposes.
