Business Description
The company develops, markets and supports open systems-based, mission-critical desktop system software and integrated applications that enable multi-platform deployment of client/server applications throughout an enterprise. The company's objective is to establish its desktop system software as the de facto standard operating environment in the enterprise client/server market and to deliver follow-on applications to its installed base of customers. To date, the company has established an installed base of over 50,000 seats to customers in a variety of targeted vertical markets, including financial services, government, telecommunications, oil and gas and manufacturing. Representative licensees of the company's products include AT&T;, Mobil Oil, Morgan Stanley & Co., Motorola and the U.S. Department of Defense. The company's flagship product, the TriTeal Enterprise Desktop (TED), is designed to solve many of the problems resulting from this client/server platform fragmentation within the enterprise. TED allows individual users, system administrators and developers to easily access applications, data and network resources across most leading platforms used in the enterprise client/server market.

Use of Proceeds
The proceeds from the proposed offering will be used for general corporate purposes, including working capital and capital expenditures.
