Business Description

The Bank is a mutual savings and loan association which was organized under Ohio law in 1888. As an Ohio savings and loan association, the Bank is subject to supervision and regulation by the OTS and the Division. The Bank is a member of the Federal Home Loan Bank of Cincinnati, and the deposits of the Bank are insured up to applicable limits by the FDIC in the Savings Association Insurance Fund. The BAnk conducts business from its office at 25 Garfield Place in Cincinnati, Ohio. The principal business of the Bank is the organization of permanent mortgage loans secured by first mortgages on one-to four-family residential real estate located in Hamilton County, Ohio and the contiguous Ohio counties of Clermont, Butler and Warren and the Kentucky counties of Boone and Kenton. The Bank also originates mortgage loans secured by multifamily real estate and nonresidential real estate in its primary market area.

Use of Proceeds

The proceeds from the proposed offering will be used to fund the transition from a mutual to a stock bank holding company.
