Business Description

The company will seek to acquire and operate commercial and industrial properties, including without limitation, office buildings, shopping centers, business and industrial parks and other commercial and industrial properties, on all cash basis. This includes properties which are under construction or development, are newly constructed, or have been constructed and have operating histories. All such properties may be acquired, developed and operated by the company alone or jointly with another party. The company is likely to enter into one or more joint ventures with Affiliated entities for the acquisition of properties with each other, and either or both of the companies may enter into joint ventures for the acquisition of properties with prior or future real estate limited partnership programs sponsored by the General Partners or their Affiliates. As of the date of this prospectus, the company has neither purchased nor contracted to purchase any properties, nor have the General Partners identified any properties in which there is a reasonable probability that the company will invest.

Use of Proceeds

The proceeds from the proposed offering will be used to invested in accordance with the stated objectives of the trust.
