Business Description
The company is the leading wholesale distributor of microcomputer products worldwide. The company markets microcomputer hardware, networking equipment, and software products to more than 105,000 reseller customers in approximately 120 countries worldwide. Ingram Micro distributes microcomputer products through warehouses in eight strategic locations in the continental United States and 21 international warehouses located in Canada, Mexico, most countries of the European Union, Norway, Malaysia, and Singapore. The company believes that it is the market share leader in the U.S., Canada, Mexico, and the second largest full-line distributor in Europe. In 1995, approximately 31% of the company's net sales were derived from operations outside the United States. Ingram MIcro offers one-stop shopping to its reseller customers by providing a comprehensive inventory of more than 36,000 products from over 1,100 suppliers , including most of the microcomputer industry's leading hardware manufacturers, networking equipment suppliers and software publishers.

Use of Proceeds
The proceeds from the proposed offering will be used to repay debt.
