| Business Description |
| The company is a Delaware corporation which was organized in December 1995 by EVC. EVC provided the initial funding of the company's operations by investing approximately $1,100,000, therefore EVC, the Selling Security holder may be considered a founder of the company. EVC presently owns 96.6% of the outstanding shares of the company which shall decrease to 81.5% upon the consummation of this Offering, and which shall decrease to 58.7% in the event EVC sells the 1,400,000 shares registered for resale herein. In March 1996, the company entered into a property acquisition agreement and a co-production agreement with Rogue Features, inc., an unaffiliated entity, to acquire the rights to and co-produce a motion picture of the screenplay entitled "DIrty Laundry," which is a romantic comedy. |
