Business Description

The company is principally a designer, manufacturer and distributor of Easter, Halloween and Christmas decorative and novelty merchandise. The company's product lines include a broad range of indoor and outdoor decorative products for each of these holidays. Among the company's products is the giant Stuff-A'-Pumpkin orange leaf bag with a jack-o'-lantern design, which is part of its Halloween product line. For Easter, the company produces Easter egg decorating kits and other related products, some of which incorporate licensed images of The Walt Disney Company, such as Winnie the Pooh, Mickey Mouse, 101 Dalmatians and Pocahontas. The company sells its products principally throughout the United States and Canada to many of the large and small retail chains, mail order organizations and specialty stores.

Use of Proceeds

The proceeds from the proposed offering will be used for general corporate purposes, repayment of bank indebtedness, product indebtedness, product development and acquisitions.
