Business Description
The company designs, develops and markets proprietary radio frequency integrated circuits for wireless communications applications such as cellular and PCS, cordless telephony, wireless LANs, wireless local loop, and industrial radios. The company offers a broad array of products including amplifiers, mixers and modulators/demodulators, that represent a substantial majority of the RFICs required in wireless subscriber equipment. The company designs products using three distinct process technologies: GaAs HBT, GaAs MESFET and silicon bipolar transistor. The company believes that for certain applications, GaAs HBT devices offer advantages in terms of linearity, efficiency, reduced system complexity and size. The wireless communications industry has grown rapidly over the past decade as cellular, PCS, paging and other wireless communications services have become widely available and increasingly affordable. As wireless usage grows, wireless service providers continue to improve the quality and functionality of the services they offer and seek to offer greater bandwidth for increased capacity.

Use of Proceeds
The proceeds from the proposed offering will be used to finance the construction of a new wafer fabrication facility, to repay certain indebtedness and for working capital and for general corporate purposes.
