| The company is an international oilfield service company engaged in the acquisition of seismic information, with a specialization in the acquisition of high definition three-dimensional seismic data in logistically difficult wetland environments. Seismic data is used by oil and gas companies in the exploration for new oil and gas reserves and the development of existing reserves. The company was formed to combine the onshore seismic data acquisition business conducted by Seitel Geophysical, Inc. since 1993 with the offshore seismic data acquisition business conducted by Energy Research International and its operating subsidiaries, which was commenced in 1974. The company's crew and equipment have been configured for the technically and logistically demanding operations they conduct. The company operates three onshore 1,850 channel Opseis (R) radio telemetry seismic data acquisition crews in the U.S. Gulf region and four towed-steamer seismic data acquisition vessels, primarily in the North Sea and the U.S. Gulf of Mexico. |

| The proceeds from the proposed offering will be used to repay debt or capital lease obligations of the company, including certain debt owed to or guaranteed by Seitel, and to fund a portion of the capital expenditures required to increase the streamer capacity of one of the offshore seismic data acquisition vessels operated by the company. |
