| The company was organized as a vehicle to acquire or merge with a business or company. The company's characteristics as an enterprise with liquid assets, nominal liabilities, and flexibility in structuring will make it an attractive combination candidate None of the Company's officers, directors, promoters, their affiliates or associates have had any preliminary contact or discussions and there are no present plans, proposals, arrangements or understandings with any representative of the owners of any business regarding the possibility of an acquisition or merger transaction.
