Competition
The Company faces strong competition in all its product lines from numerous domestic and foreign manufacturers of varying sizes located throughout the world, some of which have advantages in terms of labor and component costs and technology or have substantially greater resources and geographic presence. The degree of competition varies depending on the product line and application involved. The Company's products generally compete on the basis of price, product performance, features and delivery schedule. There can be no assurance that the Company will be able to compete favorably in any of its product lines. The Company may encounter competition from current and prospective customers that may decide to design and manufacture power supplies internally to lower costs or control production. In the event of an economic downturn, or when dealing with high-volume orders, price becomes an increasingly important competitive factor, which could cause the Company to reduce prices on its products and thereby adversely affect the Company's financial condition.

Use of Proceeds
The proceeds from the proposed offering will be used to repay indebtedness and for general corporate purposes.
